BY USING GIGACENTRAL AND/OR ANY PART THEREOF, YOU HEREBY DECLARE AND ACKNOWLEDGE
THAT YOU HAVE READ, UNDERSTAND AND AGREE TO BE BOUND BY THE TERMS AND CONDITIONS
OF THIS LICENSE AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS AND CONDITIONS
OF THIS LICENSE AGREEMENT, DO NOT USE GIGACENTRAL AND PROMPTLY UNINSTALL OR DELETE
GIGACENTRAL APPLICATION.
1. Licenses, Title and Ownership:
1.1 Upon using GigaCentral and subject to this license agreement, you are hereby
granted with a revocable, non-exclusive, non-assignable, non-transferable license
to use GigaCentral (‘User License’). This User License is granted for the sole
purpose of enabling you to use and enjoy the benefits of GigaCentral as provided
by Inspire-Tech, in the manner permitted by this license agreement.
1.2 GigaCentral may include and/or use certain authorized software, some of which are
defined as "Open Source Software". The license terms in this agreement applies only
to GigaCentral, and does not apply to any other software included herein, or to any
Open Source Software, which have different license terms.
1.2.1 By using GigaCentral, you agree to be bound to any terms and conditions stated
particularly in any of the licenses as described in this agreement.
1.3 This Agreement does not convey to you and/or to any third party an interest in
or to GigaCentral other than a Limited User license as defined above.
2. Limitation on Use:
You agree not to:
2.1 Sell, license, sub-license, lease, assign, transfer, pledge, and/or share any of
your rights under this license agreement to any third party;
2.2 Modify, disassemble, decompile, reverse engineer, reconstruct, imitate, copy,
revise, enhance and/or publish all or any part of GigaCentral or create any derivative
works or otherwise merge or utilize all or any part of GigaCentral with or into other
software or other materials or attempt to discover and/or extract all or any part of
GigaCentral source code;
2.3 Store, share, copy or distribute via Inspire-Tech or via using GigaCentral any
content that may violate the law or infringe or harm any legal right including but
not limited to intellectual property rights.
2.5 Use GigaCentral or software in a manner that may cause technical difficulties,
system overload or otherwise harm Inspire-Tech and/or GigaCentral and/or any third
party.
You hereby declare and acknowledge that you are fully aware that in any violation of
the above terms you shall be fully liable for any losses, caused to Inspire-Tech and/or
any of its affiliates and/or any third party related to the violation.
3. Limitations on Liability:
IN NO EVENT AND UNDER NO CIRCUMSTANCES SHALL INSPIRE-TECH AND/OR ANY OF ITS FOUNDERS,
DIRECTORS, EMPLOYEES OR AGENTS BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY DIRECT,
INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING,
WITHOUT LIMITATIONS, ANY LOST PROFITS OR LOST DATA ARISING FROM OR RELATED TO YOUR USE
OF GIGACENTRAL, EVEN IF INSPIRE-TECH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
INSPIRE-TECH SHALL NOT BE LIABLE FOR ANY DAMAGES TO YOUR MOBILE DEVICE AND/OR COMPUTER
AND/OR ANY ELECTRONIC DEVICE AS A RESULT OF INSTALLING AND/OR USING GIGACENTRAL. YOU
EXPRESSLY UNDERSTAND AND AGREE THAT INSPIRE-TECH SHALL NOT BE LIABLE FOR ANY DIRECT,
INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT
LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, PRIVACY OR OTHER TANGIBLE
AND/OR INTANGIBLE LOSSES. YOU SHALL NOT BE ENTITLED TO CLAIM DAMAGES OF ANY KIND FROM
GIGACENTRAL AND/OR ANY OF ITS FOUNDERS, DIRECTORS, EMPLOYEES OR AGENTS FOR ANY LOSS OR
DAMAGE OCCURRED AS A RESULT OF THE USE OF ANY CONTENT TRANSMITTED, OR SENT THROUGH OR
BY GIGACENTRAL, INCLUDING, WITHOUT LIMITATIONS, ANY BUGS, VIRUSES, TROJAN HORSES, WORMS,
SPYWARE, MALWARE AND GREYWARE THAT MAY BE TRANSMITTED BY OR THROUGH GIGACENTRAL BY ANY
USER AND/OR ANY THIRD PARTY; BY USING GIGACENTRAL AND/OR ANY PART THEREOF, YOU UNDERSTAND
AND AGREE THAT INSPIRE-TECH IS NOT RESPONSIBLE FOR ANY CONTENT, INCLUDING WITHOUT
LIMITATIONS, ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONTENT POSTED BY ANY USER OR THIRD
PARTY, AND YOU SHALL NOT BE ENTITLED TO CLAIM ANY DAMAGES OF ANY KIND FROM INSPIRE-TECH
AND/OR ANY OF ITS FOUNDERS, DIRECTORS, EMPLOYEES OR AGENTS AS A RESULT OF SUCH PUBLICATION.
4. Governing Law; Venue and Jurisdiction:
Upon using GigaCentral you hereby agree that the laws of Singapore shall apply to and
govern these Terms of Use, without regard to principles of conflict of law. Any dispute
of any sort that might arise between you and Inspire-Tech or anyone of Inspire-Tech behalf
shall be resolved under Singapore jurisdiction, at the courts of the city of Singapore.
You hereby consent to the aforementioned venue and waive all defenses of lack of
personal jurisdiction and forum non-conveniens.
